Our Companies (Red Circle Wholesale Ltd and Convenience
Stores Buying Group 3 Ltd) are Registered Public Companies under
the 1993 Companies Act. They are not listed. Red Circle was
registered in June 1992.
Shares are available by invitation only.
Shareholders are limited to currently operating and trading Service
Stations, Motor Repair Garages, and convenience stores.
These operations can be:
- Private Owner (End Dealer)
- Leased
- Franchise
- Commission Agents
Each Shareholder holds 2,000 $1 Shares. On exiting the Service
Station (etc) industry Shareholders must sell their shares back to
the Company at par. The Companies are operated as a co-operative
with all profits being returned to Shareholders pro-rata of their
spending with the Company.
Company Structure
Red Circle is controlled by a board of directors. Directors are
appointed by the shareholders at it's annual general meeting.
The chairman is elected by the board from within the board. The
Chairman does not hold a casting vote.
The day to day running of the company is in the hands of the
Executive Director.
Mission statement
To provide Shareholder members with a means of obtaining goods
and services at the best price and terms of payment. The success of
this will enable the company to return all the profits annually to
the members in proportion of their support.
